IMPORTANT: THIS IS A LEGALLY BINDING CONTRACT. BY ACCESSING THE TOOLS, YOU ARE AGREEING TO BE BOUND BY ALL TERMS, INCLUDING A $100 LIABILITY CAP, A SIX MONTHS STATUTE OF LIMITATIONS, AND AN IRREVOCABLE WAIVER OF JURY TRIAL.
1. Binding Agreement & Universal Multi-Domain Scope
By accessing or using any calculation tool, directory, affiliate link, or service provided by Service Directories, Inc. (the "Tools"), you enter into a legally binding contract. If you do not agree to every stricture in this document, you are expressly forbidden from using the tools and must exit immediately. This applies to all Company domains ("Sites") and third-party licensed sites ("Licensed Mode"). Your use constitutes irrevocable acceptance.
2. Representation of Age & Legal Capacity
You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into this binding contract. If you are under 18, you are strictly prohibited from using the Tools.
3. Affirmative Duty to Read & Basis of the Bargain
You acknowledge an affirmative legal duty to read these Terms. Failure to do so does not excuse compliance. You acknowledge that the Company provides these Tools ONLY because of the Limitation of Liability ($100.00) and the Shortened Statute of Limitations (SIX MONTHS) contained herein. These limits are the fundamental "Basis of the Bargain."
4. Intellectual Property, Trade Secrets, & Liquidated Damages
All algorithms, logic, and code are the exclusive Trade Secrets and IP of the Company. User is prohibited from reverse-engineering, scraping, or using the Tools to train any Artificial Intelligence (AI) or LLM. Any breach of this Section 4 shall entitle the Company to Liquidated Damages in the amount of $50,000.00 USD per occurrence plus legal fees.
5. Prohibition on Competitor Use & Benchmarking
Use of the Tools by any competitor for "benchmarking," comparative analysis, or market intelligence is strictly prohibited and subject to Section 4 Liquidated Damages.
6. Independent Third-Party Hosting & Disclaimer
In Licensed Mode, Tools are rendered via third-party infrastructure. The Company has no duty to monitor Licensee websites and assumes zero responsibility for the security or architecture of a Licensee's domain. You waive all claims regarding site-specific glitches on Licensee domains.
7. Absolute Prohibition on Public Citation
User is forbidden from citing the Tools in any court filing, motion, underwriting decision, or judicial proceeding. The Company is entitled to immediate injunctive relief for violations.
8. No Lender, Broker, or Fiduciary Relationship
Service Directories, Inc. is an independent software provider and advertising publisher. We are not a bank, lender, licensed mortgage broker, or financial advisor. Use of the Tools does not create a lender-borrower, fiduciary, or advisory relationship. We do not originate loans, make offers for credit, or guarantee rates.
9. Data Transit & the "Once" Clause
The Company assumes no responsibility for data once it leaves our production environment. Any interception or hacking during transit is at the User's sole risk.
10. Shortened Statute of Limitations (SIX MONTHS WINDOW)
REGARDLESS OF ANY STATUTE TO THE CONTRARY, ANY CLAIM ARISING OUT OF OR RELATED TO THE USE OF THE TOOLS MUST BE FILED WITHIN SIX MONTHS AFTER SUCH CLAIM AROSE OR BE FOREVER BARRED.
11. Market & Regulatory Latency Disclaimer
The Company is not liable for inaccuracies caused by delays in updating the Tools to reflect changing interest rates, market conditions, or financial regulations. We have no duty to update any Tool to match current daily rates or specific lender guidelines.
12. "As-Is" Execution & Programming Disclaimer
We are not liable for programming errors, coding bugs, or logic discrepancies. We reserve the right to leave known errors unrepaired indefinitely.
13. Conspicuous Disclaimer of All Warranties
THE TOOLS ARE PROVIDED "AS IS." THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Total Waiver of Reliance & Mandatory Verification
You are mandated to have any result verified by a licensed mortgage professional or underwriter. We are not liable for results generated by user entry mistakes, misunderstanding of financial terminology, or failure to account for hidden closing costs.
15. Acknowledgement of Lender Discretion
You acknowledge that lenders and underwriters possess absolute discretion to approve or deny loans, and to adjust rates and terms based on credit scores, market conditions, debt-to-income ratios, and other proprietary underwriting guidelines.
16. Absolute Liability Ceiling: $100.00 USD
To the maximum extent permitted by law, the Company's total aggregate liability for any and all claims is fixed at $100.00 USD.
17. Absolute Disclaimer of System Availability
The Company is not responsible for any outages or "downtime," no matter the cause.
18. Force Majeure (Acts of God)
Company shall not be liable for any failure due to lightning, floods, war, terrorism, or atmospheric disturbances.
19. Geographic & Lending Disclaimer
The Tools are designed to provide general estimates based on standard U.S. amortization mathematics. We make no representation that the Tools account for specific local property taxes, HOA fees, or state-specific lending regulations.
20. Aggressive Indemnification
User agrees to defend, indemnify, and hold harmless the Company and its agents from all claims and expenses (including attorneys' fees) arising from your use of the Tools.
21. Right of Termination
The Company reserves the right to terminate access to the Tools at any time, without notice, for any reason.
22. Venue, Small Claims, & Jury Waiver
This agreement is governed by the laws of New York. To the maximum extent permitted by law, any claim brought by the User against the Company shall be heard exclusively in the Small Claims Part of the District Court of Nassau County, New York. However, the Company reserves the absolute right to bring claims for injunctive relief, intellectual property infringement, or liquidated damages in any court of competent jurisdiction within Nassau County, New York. YOU IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY AND CLASS ACTION PROCEEDINGS.
23. Entire Agreement
These Terms constitute the sole and entire agreement. You waive any defense based on the electronic nature of these Terms.
24. Severability & Reformation
If any provision is held invalid, it shall be reformed to the most aggressive and restrictive limit allowed under New York law.
25. Licensee Compliance
User is bound by these terms even if a third-party Licensee fails to display a link to them.
26. Temporal Validity & Stale Data
Results are deemed "Stale" and legally void immediately upon generation due to the highly volatile nature of interest rates and financial markets. Any result is rendered void upon any change in market conditions.
27. No Third-Party Beneficiaries
This Agreement is intended solely for the benefit of the User and the Company.
28. Conflict of Terms (Mastery Clause)
In the event of a conflict between these Terms and any other document, these Terms shall prevail.
29. Attorney's Fees and Costs (Loser Pays)
In any action to enforce these Terms, the Company shall be entitled to recover its reasonable attorney's fees and court costs from the User.
30. Non-Waiver
Failure to enforce any provision shall not be construed as a waiver.
31. Cumulative Remedies
All rights and remedies provided to the Company herein are cumulative.
32. Headings
Section headings are for convenience only and have no legal effect.
33. Survival
All provisions regarding Indemnification, Liability, Statute of Limitations, IP, and Venue survive termination in perpetuity.
34. Additional Survival
Blind System Presumptions survive the termination of your use of the Tools in perpetuity.
35. User Input Accuracy & "Blind System" Acknowledgment
Company operates a "Blind System" that does not store or log data entries. It is legally presumed that any error was caused by inaccurate user data entry. The burden of proof rests solely on the User to prove specific data entered via contemporaneous evidence. Clicking "Calculate" is your final sign-off.
36. Right to Modify at Will
The Company reserves the right to modify these Terms at any time without notice. Continued use constitutes acceptance.
37. Professional Responsibility & Directory Disclaimer
This section applies to both Licensed and Embedded/Directory/Affiliate Modes.
FOR MORTGAGE PROFESSIONALS (LICENSED MODE): Licensee acknowledges a non-delegable professional duty to verify all financial calculations and provide required TILA/RESPA disclosures. Licensee shall indemnify and hold Company harmless from any third-party claims arising from professional use or misuse of results.
FOR END-USERS (EMBEDDED/DIRECTORY/AFFILIATE MODE): The appearance of any lender, broker, or financial institution in a directory, advertisement, or list provided by the Tools is NOT an endorsement or recommendation of their standing. (i) NO VETTING: We have not verified the NMLS licensure status, regulatory standing, or lending history of any professional; (ii) NO LENDING SERVICE: We are not a lender or mortgage broker; (iii) USER RISK: Applying for a loan or hiring any professional from the directory or affiliate links is at your sole risk.
